Acceptance of These Terms

These Terms & Conditions govern your use of this website and your purchase of products and services from TONEGRADE STUDIO SDN. BHD. (Reg. No. 202601041914 (1704009-D)) (“TONEGRADE STUDIO”, “we”, “us”). By placing an order or using the website you agree to them, together with our Privacy Policy, Refund Policy and Delivery Policy.

Who We Are & What We Sell

Creation and licensing of digital photography and videography assets, including presets, LUTs, colour profiles, editing templates, retouching tools and digital effects; online sale and distribution of digital creative assets and photography and videography resources through e-commerce platforms; and provision of graphic design, photo editing, retouching and other related digital creative services. The current range on this website consists of 25 products: downloadable presets, LUTs, colour profiles, retouching tools, editing templates, effects, e-books and bundles; four creative services; and one annual asset library subscription. Everything is delivered electronically.

Licence to Use Products

When you buy a download, e-book or bundle we grant you a non-exclusive, non-transferable licence to use the files for the purpose and within the scope stated on that product page (“Licence / usage”), for example commercial use for one creator/business; no resale or redistribution, commercial use for one creator/business; no template resale, commercial use for one creator/business; no asset resale or personal and internal business use. One licence covers the one creator or business (or personal and internal business use) named in that scope. If more creators or businesses need the files, each needs its own licence. You may use the files in your own client and commercial work as the scope allows.

For creative services, the finished files delivered to you are licensed to you as stated on the product page (“final files licensed to client”). For the annual library subscription, the licence is for a single subscriber or business while the subscription is active, with no redistribution.

Restrictions

Unless we agree in writing, you must not:

• resell, redistribute, share, publish or upload the files, in original or modified form, including to file-sharing sites, marketplaces and asset libraries, or give them to other creators or businesses outside the licence scope;
• sublicense, rent, lend or otherwise make the files available to others outside the licence scope;
• offer the files, or any part of them, as your own preset, LUT, template, effect, tool or other asset product, or use them to build a competing asset library;
• remove or alter ownership notices in the files;
• while a subscription is active, share your account access with others or download the library for redistribution.

Intellectual Property

All copyright and other intellectual property rights in the products, the website, the logo and our artwork remain with TONEGRADE STUDIO or its licensors. Your purchase gives you a licence to use the files, not ownership of them. Photographs and videos you create using the files remain yours, subject to the licence you bought.

Creative Services

For a creative service you order, you must send only images, footage or other content that you own or have the right to have edited, and you are responsible for any consents needed from people who appear in it or from other rights holders. The service covers the scope stated under “What’s included”. After you order we email you to collect your files; work starts once we have received usable files and confirmed the brief. We will make reasonable efforts to deliver work that matches the listing and your brief, but creative results are subjective and we do not guarantee a particular outcome. Cancellations and refunds for services follow the Refund Policy.

Annual Subscription

The Tonegrade Creator Asset Library is sold as access for one year. It is a one-off annual payment and does not renew automatically; renewal is by a new order. Account access details are emailed after payment is confirmed. The contents of the library may change over time, and we do not promise any specific file or number of files unless the product page says so.

Prices & Orders

Prices are shown in Malaysian Ringgit (MYR) per licence, per job (services) or per annual subscription. We may change prices at any time, but the price displayed when you complete checkout is the price you pay. If we find a pricing or description error, we may cancel the affected order and refund any payment made. An order is accepted when your payment is confirmed and we send your files, collection email or access details.

Payment

Payment is made online through our payment gateway provider (AXAIPAY) by the methods offered at checkout, such as FPX online banking, e-wallet or card. We do not see or store your card or bank login details. Your order is processed only after the gateway confirms payment.

Delivery

Products and services are delivered digitally by download link, cloud link or email as described in our Delivery Policy. You are responsible for entering a correct email address and for having software able to open the files.

Refunds

Because digital files cannot be returned, refunds are limited to the situations set out in our Refund Policy, which also covers services and the subscription.

Previews & Descriptions

Product pages show presentation artwork and sample images (devices, boxes, before-and-after views and photography) to illustrate the product. The artwork is illustrative: only the quantities, formats and files listed under “What’s included” are supplied, and any third-party photographs, products, brand names or physical items appearing in artwork are not part of the product unless the listing says so. Results from presets, LUTs and tools vary with the source image or footage, camera and software, and we do not promise any particular look. You are responsible for checking that your finished work is suitable and cleared for your use.

Disclaimer & Limitation of Liability

Products and services are supplied for general use and, to the extent permitted by law, without warranties of fitness for a particular purpose or of particular business outcomes. To the extent permitted by law, our total liability for any claim relating to a product or service is limited to the price you paid for it, and we are not liable for indirect or consequential loss, loss of profit or loss of data. Please keep copies of your original files; we are not responsible for the loss of originals you send us. Nothing in these terms excludes rights you have under Malaysian law, including consumer protection law, that cannot be excluded.

Use of the Website

You agree to use the website lawfully and not to interfere with its operation, attempt unauthorised access, or copy its content other than as these terms allow. We may change or suspend the website or any product at any time.

Privacy

We handle personal data as described in our Privacy Policy, in accordance with the Personal Data Protection Act 2010.

Changes to These Terms

We may update these terms from time to time. The version on this website when you place an order applies to that order.

Governing Law

These terms are governed by the laws of Malaysia, and the courts of Malaysia have jurisdiction over any dispute, subject to any mandatory rights you have as a consumer.
